## 1. Acceptance of Terms By accessing or subscribing to SOL Carry Signals ("Service", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and SOL Carry Signals. We reserve the right to modify these Terms at any time. Continued use of the Service following notice of changes constitutes acceptance of the revised Terms. ## 2. Eligibility and Geographic Restrictions **You must not use this Service if you are:** - A resident of, or subject to the laws of, the United States of America or any of its territories - A resident of, or subject to the laws of, any jurisdiction where the provision or use of this Service is prohibited by applicable law - A person who is otherwise prohibited from receiving financial information services under applicable law By subscribing, you represent and warrant that you are not a US person as defined under Regulation S of the US Securities Act 1933, and that use of this Service is lawful in your jurisdiction. ## 3. Nature of the Service ### 3.1 Informational Signals Only SOL Carry Signals provides: - Trade signal alerts based on quantitative analysis of public on-chain and market data - Educational information about Solana carry trade strategies - Market data aggregation and presentation The Service does **not**: - Execute trades on your behalf - Hold, manage, or have access to your funds or private keys - Provide personalised financial advice - Act as a financial adviser, broker, or investment manager ### 3.2 Non-Custodial We never have custody of your digital assets at any time. You are solely responsible for the security of your wallets, private keys, and exchange accounts. ## 4. Risk Disclosure Risks include but are not limited to: - Price volatility and liquidation risk - Smart contract vulnerabilities and protocol exploits - Regulatory changes affecting digital assets - Liquidity risk and slippage on trade execution - Network congestion and failed transactions - Oracle manipulation and flash loan attacks - Counterparty risk on centralised exchanges You should only trade with capital you can afford to lose entirely and should seek independent financial advice before making any investment decisions. ## 5. Subscription and Payment ### 5.1 Plans and Billing Subscriptions are billed monthly in advance via Stripe. You authorise us to charge your payment method on a recurring basis until cancellation. ### 5.2 Cancellation You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused periods, except under the 7-day money-back guarantee for first-time subscribers. ### 5.3 Price Changes We reserve the right to change subscription prices with 30 days' notice. Continued subscription after the effective date constitutes acceptance of the new price. ## 6. Intellectual Property All signal data, algorithms, content, and materials provided through the Service are proprietary to SOL Carry Signals and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Service for your own personal, non-commercial trading purposes. You may not: - Redistribute, resell, or share signal data with third parties - Use the Service to build competing products - Reverse-engineer or scrape the Service ## 7. Prohibited Uses You agree not to use the Service to: - Engage in market manipulation or illegal trading activities - Circumvent any technical restrictions or access controls - Violate any applicable laws or regulations - Impersonate or misrepresent your identity or affiliation ## 8. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOL CARRY SIGNALS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR TRADING LOSSES, ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON ANY SIGNAL PROVIDED. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 3 MONTHS PRECEDING THE CLAIM. ## 9. Indemnification You agree to indemnify and hold harmless SOL Carry Signals and its operators from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights. ## 10. Governing Law These Terms are governed by the laws of the jurisdiction in which SOL Carry Signals is incorporated, without regard to conflict of law principles.
